This Agreement is entered into between OneDiary (湾湾日记) members (hereinafter referred to as “Member”) and OneDiary (Dongguan) Technology Co., Ltd. (hereinafter referred to as “OneDiary”) regarding the use of the automatic renewal and recurring payment service (hereinafter referred to as the “Service”).
This Agreement describes the rights and obligations between OneDiary and the Member in relation to the Service.
“Member” refers to an individual or a single entity that subscribes to and uses OneDiary membership services.
This Agreement constitutes a prerequisite for the use of the Service. Unless you accept all the terms of this Agreement, you are not authorized to use the Service. Your use of the Service shall be deemed as your acceptance of all terms of this Agreement.
1. Service Description
1.1
The Service is designed to meet Members’ needs for automatic renewal and to prevent service interruption due to failure to renew in time.
By enabling this Service, the Member irrevocably authorizes OneDiary to automatically charge the subscription fee for the next billing cycle (monthly or yearly) from:
- The Member’s account balance, or
- A third-party payment account linked to the Member’s account
This authorization applies before or upon the expiration of the current subscription period.
The Service is effective only if:
- The Member has linked a valid payment method
- The payment can be successfully processed
1.2
Automatic renewal means that OneDiary will attempt to charge the subscription fee for the next billing cycle via the authorized payment method.
The Member is responsible for ensuring sufficient funds are available. Failure to renew due to insufficient balance or other payment issues shall be borne solely by the Member.
1.3
When using this Service, the Member shall also comply with the Membership Service Agreement of OneDiary.
Your use of this Service constitutes your acceptance of:
- This Agreement
- Any rules, notices, or announcements related to the Service
1.4
This Service is provided exclusively within the OneDiary platform.
Any attempt to separate, exploit, or misuse the Service through illegal means (e.g., hacking, cracking, or unauthorized tools) is strictly prohibited. OneDiary reserves the right to pursue legal liability for such actions.
2. Rights and Obligations
2.1
OneDiary shall charge the subscription fee for the next billing cycle at the agreed time and:
- Record the payment
- Extend the Member’s subscription period accordingly
2.2
In the event of a payment error:
- Both parties shall cooperate to identify the cause
- Each party shall bear losses caused by its own fault
- If both parties are at fault, liability shall be allocated proportionally
- If fault cannot be distinguished, liability shall be shared
2.3
OneDiary reserves the right to modify this Agreement, service content, rules, or terms due to business or technical changes.
Updates will be announced via relevant pages within the app. No individual notice is required.
If you do not accept the updated terms, you may cancel the Service. Continued use of the Service constitutes acceptance of the updated Agreement.
2.4
The Member may choose whether to cancel the Service.
If the Member does not cancel, it shall be deemed that the Member agrees to automatic billing attempts according to applicable rules. Upon successful payment, the subscription will be renewed for the next billing cycle.
2.5
If the subscription price changes before renewal, the current effective price at the time of billing shall apply.
3. Activation of the Service
3.1
The Service is available on both iOS and Android platforms:
- iOS users: By enabling this Service, you authorize OneDiary to charge fees from your Apple ID (iTunes account).
- Google Play users: Charges are processed via Google Play billing.
- Alipay users: Charges are processed via Alipay automatic payment.
3.2
The Member must ensure that the selected payment method has sufficient balance.
Failure to renew due to insufficient funds or other payment issues (including multiple subscriptions) will result in service interruption.
4. Service Duration
4.1
Unless otherwise specified by OneDiary, the automatic renewal service remains valid until canceled by the Member.
4.2
If the Member does not cancel the Service, OneDiary is authorized to:
- Continue charging the subscription fee
- Attempt billing periodically until successful
Upon successful payment, the subscription will be renewed for the next billing cycle.
4.3
By enabling automatic renewal, the Member authorizes recurring payments for subscription services.
All fees paid are non-refundable, except as required by applicable law or platform policies.
5. Cancellation of the Service
5.1
Members may cancel the Service at any time.
5.2 Cancellation Methods
- iOS Users:
Go to Settings → Apple ID → Subscriptions → Cancel OneDiary Pro subscription - Google Play Users:
Cancel via Google Play → Account → Subscriptions - Alipay Users:
Go to Alipay App → Settings → Payment Settings → Automatic Payments → Disable OneDiary
5.3
After cancellation:
- Current subscription benefits remain valid until the end of the billing cycle
- No further automatic renewals will occur
5.4
If a renewal instruction has already been submitted before cancellation, any charges successfully processed will not be refunded.
6. Term and Termination
6.1
This Agreement becomes effective upon acceptance or use of the Service and remains in effect until the Service is canceled or membership is terminated.
6.2
The Member may terminate the Service at any time via account settings.
After termination, OneDiary will stop providing the Service.
6.3
Any authorized renewal instructions issued before termination remain valid, and fees charged based on such instructions are non-refundable.
7. Liability and Dispute Resolution
7.1
If either party breaches this Agreement, the non-breaching party has the right to seek compensation through agreed dispute resolution methods.
7.2
Any disputes arising from this Agreement shall first be resolved through friendly negotiation.
If negotiation fails, either party may submit the dispute to the competent court in Haidian District, Beijing, China.
This Agreement shall be governed by the laws of the People’s Republic of China.
